Job Overview

We are seeking a Regional Legal Counsel, APAC Commercial to serve as the primary legal partner for Penguin's business teams in the Asia-Pacific region, owning the commercial legal relationship across the region and independently leading complex transactions while collaborating with Legal Business Partners on the largest strategic deals.

Based in our Penang office, this attorney will partner directly with regional sales and business leaders, providing strategic and practical legal guidance on commercial matters and coordinating with Penguin's global Legal team to drive AI infrastructure and neocloud transactions.

In coordination with US based legal teams, this role will lead complex commercial transactions across the APAC region, collaborate with Legal Business Partners on the largest strategic neocloud deals, and exercise sound judgment in identifying and escalating novel or higher-risk issues to appropriate Legal team resources.

This is an opportunity for an experienced, commercially minded attorney to take leadership of Penguin's APAC commercial legal function, serving as a trusted advisor to regional business leaders while supporting a rapidly growing technology business operating across AI infrastructure, neocloud, advanced computing, memory, manufacturing, and related services.

Responsibilities

1. APAC Commercial Contracting

  • Lead the drafting, review, and negotiation of a broad range of commercial agreements, including:
    • Customer and sales agreements
    • NDAs and other confidentiality agreements
    • Vendor, supplier, and procurement agreements
    • Services agreements and statements of work
    • Manufacturing, logistics, and other operational agreements
  • Manage regional commercial matters from initial request through negotiation and execution, coordinating with internal stakeholders and keeping deals on track, and helping refine templates, playbooks, and escalation guidelines based on regional experience.
  • Provide practical guidance to business stakeholders regarding contract terms and commercial risk
  • Collaborate with Legal Business Partners on the largest strategic neocloud transactions, contributing to deal strategy, negotiation approach, and risk assessment
  • Ensure commercial matters progress efficiently by providing real-time legal coverage across APAC time zones and proactively managing deal momentum

 

2. APAC Regional Legal Support

  • Serve as the primary Legal partner and trusted advisor for business teams in the APAC region, building strong relationships with sales leaders and other stakeholders
  • Triage and prioritize incoming legal requests and routing specialized matters to appropriate global Legal team resources
  • Closely coordinate with members of the global Legal team, particularly when matters involve specialized expertise, including trade compliance, privacy, employment, intellectual property, corporate, or regulatory issues
  • Work closely with the VP and Deputy General Counsel and other Legal Business Partners on deal strategy, risk calibration, and alignment of regional commercial positions with Penguin's global legal approach
  • Guide business teams through Penguin's legal processes and identify the appropriate Legal resource
  • Develop familiarity with regional business practices and recurring legal issues affecting Penguin's APAC operations

 

3. Business Partnership

  • Build strong, trusted relationships with sales, operations, supply chain, finance, product, and other business teams
  • Translate legal requirements into practical, business-oriented guidance
  • Understand the commercial objectives underlying transactions and help identify workable paths forward
  • Communicate clearly regarding legal risks, open issues, and required decisions
  • Know when to act independently and when an issue requires escalation

 

4. Legal Operations, Process & AI Enablement

  • Help improve and standardize regional contracting processes, templates, playbooks, and workflows
  • Identify recurring issues and opportunities to simplify or accelerate legal support
  • Partner with Legal Operations and other Legal team members to improve matter management and knowledge sharing
  • Use AI and other legal technology tools to improve efficiency, quality, and scalability
  • Participate in the development and implementation of AI-enabled legal workflows and digital legal resources

Qualifications

  • Law degree (LL.B., JD, or equivalent) from a recognized university
  • 7-10 years of relevant legal experience, with significant commercial contracting experience and a demonstrated track record of independently managing complex transactions and advising senior business stakeholders
  • Experience independently drafting and negotiating customer, vendor, services, procurement, or other commercial agreements, including complex or high-value transactions
  • Experience supporting AI, data center, technology, manufacturing, hardware, semiconductor, infrastructure, or supply-chain-driven businesses
  • Strong written and verbal communication skills in English
  • Proven ability to provide practical, commercially oriented legal advice directly to senior business leaders
  • Excellent judgment with a bias toward resolving matters while escalating matters when warranted by risk, complexity, or strategic significance
  • Ability to manage multiple matters and priorities in a fast-moving environment
  • Ability to work effectively and build trusted relationships with colleagues across different countries, cultures, and time zones
  • Demonstrated interest in and aptitude for using AI and legal technology to improve legal service delivery

 

Preferred Qualifications

  • Qualification as an attorney in Malaysia or another common-law jurisdiction, with experience advising on cross-border transactions in APAC
  • Prior in-house experience as a senior commercial counsel or equivalent role with a multinational technology company
  • Experience supporting commercial transactions across multiple APAC jurisdictions
  • Familiarity with technology transactions, data privacy, export controls, or other regulatory issues affecting multinational businesses
  • Experience working as part of a global Legal team
  • Proficiency in Japanese (written and verbal) in addition to English

Location

Travel

This position may require periodic travel within the APAC region and occasional international travel for customer matters, business meetings, or Legal team meetings.
